1.Introduction
New Price List effective May 15, 2016

Our awards winning, Patented 2-In-1 Removable Wheel and Handle System are among the leading choices for business travelers and knowledgeable consumers. Our product lines include: Business cases, Laptop cases, Luggage, Women’s Totes, Backpacks, Messenger bags, Duffel Bags, Handbags, and Private Label Manufacturing.
Our global distribution vision is quite simple. Our goal is to see McKlein Company brands (“McKlein and Siamod”) in every retailer that carries high-quality products. Once in your store, we are committed to working hard to become your most important selling brands.
We recognize that our success is closely tied to the success of our network of select authorized dealers. We also know that many of our dealers invest significant time and resources to deliver an extraordinary customer experience. We want to protect their ability to do so, while at the same time discouraging price-based advertising that would be detrimental to our dealer’s service and support efforts. As a result, McKlein Company LLC. has unilaterally established this Unilateral Minimum Advertised Price (UMAP) Policy
2. Policy Statement
McKlein Company, LLC., in its sole discretion, reserves the right to discontinue doing business with any reseller that advertises any product(s) covered by this UMAP Policy at a price lower that the established UMAP. For the Canada distribution, please refer to Canada UMAP Pricing in CAD$
3. General Guidelines
The products covered by this policy are listed in Section 6: UMAP Products and Section 7: Non-UMAP Products. McKlein Company LLC. may in its sole discretion modify this list from time to time.
McKlein Company LLC. recognizes that dealers are free to make their own decisions to advertise and sell any McKlein Company LLC. product at any price they choose, without consulting or advising McKlein Company LLC.. Similarly, McKlein Company LLC. will exercise its right to make its own decisions regarding the McKlein Company LLC. Authorized Reseller Program (MARP), supplemental marketing materials, point-of-purchase displays, product allocation, new product availability, or future promotional, joint marketing, or sponsorship programs.
McKlein Company LLC. believes in maintaining a well-regulated and fair marketplace for all its authorized resellers.
4. Advertising Guidelines
The UMAP Policy applies to all advertisements of UMAP Products in any and all media, including but not limited to: flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, television, radio, and public signage, online websites, social media sites, mobile apps, or any other electronic media.
Website features such as “click for price”, automated “bounce-back” pricing e-mails, pre-formatted e-mail responses, forms, and automatic price display for any items that directly or indirectly encourage the customer’s to place our product in their shopping cart, and other similar features are considered to be communications initiated by the dealer (rather than by the customer) and thereby constitute “advertising” under this UMAP Policy.
This UMAP Policy also applies to any activity, determined by McKlein Company, LLC. in its sole discretion, which is designed or intended to circumvent the intent of this UMAP Policy, such as solicitations for ‘group purchases’ and the like.
It shall not be a violation of this UMAP Policy to advertise in general that the reseller has “the lowest prices” or will match or beat its competitors’ prices, or to use similar phrases; so long as the reseller does not include any advertised price below UMAP and otherwise complies with this UMAP Policy.
We understand that some websites are created to show all products with $0.99 or $0.95 (i.e. $209.99 instead of $210.00). McKlein Company will allow up to a $0.05 deviation from our MAP Price Lists and will not consider it a violation to our policy.
From time to time, McKlein Company LLC. may permit resellers to advertise UMAP Products at prices lower than the UMAP retail price. In such events, McKlein Company LLC. reserves the right to modify or suspend the UMAP retail price with respect to the affected products for a specified period of time by providing advance notice to all resellers of such changes.
From time to time McKlein Company LLC. may offer a direct manufacturer’s rebate to customers. In such events, it shall not be a violation of this UMAP Policy to advertise the availability of the manufacturer’s rebate, provided that:
- the advertisement includes a UMAP-compliant price, the rebate amount, and the net price after manufacturer’s rebate in the same type size and style;
- an asterisk is placed next to the net price after manufacturer’s rebate; and
iii. “*after manufacturer’s rebate” appears in the same area of the advertisement as the advertised product.
5. Policy Enforcement
If a dealer with multiple store locations violates this UMAP Policy at any one store location, or on any associated website, then McKlein Company LLC. will consider this to be a violation by the dealer.
McKlein Company LLC. reserves the right to cancel any pending orders, restrict future orders, or suspend dealers’ account if McKlein Company LLC. reasonably believes:
- a dealer has violated the provisions of this policy; or
- a dealer intends to violate this policy.
McKlein Company LLC.’s UMAP Policy Administrator is solely responsible for determining whether a violation of the UMAP Policy has occurred, as well as determining appropriate sanctions.
These are the sanctions we will be implementing for MAP Violations:
- First Violation, You will be granted a 48 hour grace period to make all necessary corrections.
- Second Violation, Your account will be placed on Probation for 30 days and no orders will be processed nor shipped during this time period.
- Third Violation, Any and all business relationship with your organization will be terminated.
Waivers to this UMAP Policy may be granted in McKlein Company LLC.’s sole discretion by the UMAP Policy Administrator, in writing. McKlein Company, LLC.’s sales, marketing, and/or other personnel are not authorized to modify or grant exceptions to the UMAP Policy. In the event that the UMAP Policy Administrator authorizes a waiver to the UMAP Policy, dealers must strictly adhere to the terms of the waiver letter. Deviation from the terms of a waiver letter is a violation of the UMAP Policy.
McKlein Company LLC. monitors the advertised prices of dealers, either directly or via the use of 3rd party agencies or tools. Dealers are expected to provide reasonable cooperation in any McKlein Company LLC. investigations regarding possible UMAP Policy violations. Hindering, obstructing, delaying, or otherwise failing to cooperate with a McKlein Company LLC. UMAP Policy investigation is a violation of this UMAP Policy.
The UMAP Policy will be enforced by McKlein Company LLC. in its sole discretion and without notice. Dealers, distributors, resellers, have no right to enforce the UMAP Policy. Violations of this policy may result in any of the aforementioned sanctions up to and including termination of our business relationship, as well as any available remedies at law.
